1. License Grant
Subject to your compliance with this EULA and timely payment of applicable license fees, Gixodia grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to install and use one (1) copy of the Software on a single MetaTrader 4 (MT4) or MetaTrader 5 (MT5) trading account, for your personal, non-commercial use.
This license is granted only for the duration of your active license period and may be revoked if you breach this EULA.
2. Ownership
The Software is licensed, not sold. Gixodia retains all right, title, and interest in and to the Software, including all intellectual property rights. You acquire no ownership interest in the Software — only the limited license described in Section 1.
All trademarks, service marks, logos, copyrights, and other intellectual property associated with Gixodia, GIX-GOLD, and GIX-EURO remain the exclusive property of Gixodia.
3. Permitted Uses
Under this EULA, you may:
- Install the Software on your personal MT4 or MT5 trading platform
- Run the Software on a single broker account (or multiple accounts if your specific license tier permits)
- Configure the Software’s risk and trading parameters as documented
- Receive software updates, bug fixes, and security patches during your active license period
- Receive customer support from Gixodia
4. Prohibited Uses
You may NOT, and may not allow any third party to:
- Sell, sublicense, distribute, lease, rent, lend, or otherwise transfer the Software to any third party
- Modify, adapt, translate, reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or underlying ideas of the Software
- Create derivative works based on the Software
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices on the Software
- Use the Software to trade on behalf of others (e.g., managed accounts, prop firms, signal services) without obtaining a separate commercial license from Gixodia
- Use the Software in violation of any law, regulation, or third-party rights
- Use the Software to develop a competing product
- Share your license keys, account credentials, or installation files with any other person
- Bypass, disable, or interfere with security features of the Software
- Use the Software in a manner that could damage, disable, overburden, or impair Gixodia’s systems or networks
Violating any of these prohibitions immediately terminates your license and may subject you to legal action.
5. Updates and Maintenance
Gixodia may, at its sole discretion, provide updates, upgrades, bug fixes, and new versions of the Software during your active license period. You agree to install updates promptly. Some updates may be necessary for the Software to continue functioning correctly with broker platforms.
Gixodia is not obligated to provide updates indefinitely. We may, at our discretion, deprecate older versions of the Software with reasonable notice.
6. Customer Data and Privacy
Gixodia’s collection, use, and protection of your personal data is governed by our Privacy Policy. By using the Software, you acknowledge that you have read and accepted the Privacy Policy.
The Software does not transmit your broker account credentials, account balance, or trade history to Gixodia. The Software runs locally on your terminal and only communicates with the broker server (for trade execution) and Gixodia’s update server (to receive software updates and license verification). Gixodia has no access to your broker account.
7. The Software Is Provided "AS IS"
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. GIXODIA EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR COMPLETENESS OF RESULTS
- THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED
- THAT DEFECTS WILL BE CORRECTED
Without limiting the foregoing, Gixodia does not warrant that the Software will produce profits, avoid losses, or perform in line with any historical results.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GIXODIA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES
- LOSS OF PROFITS, REVENUE, GOODWILL, USE, OR DATA
- TRADING LOSSES OF ANY KIND
- BUSINESS INTERRUPTION
- COMPUTER FAILURE OR MALFUNCTION
- DAMAGES TO REPUTATION
EVEN IF GIXODIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
GIXODIA’S TOTAL CUMULATIVE LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL LICENSE FEES YOU PAID GIXODIA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $500.
9. Indemnification
You agree to defend, indemnify, and hold harmless Gixodia and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, damages, losses, costs, and expenses (including attorneys’ fees) arising from:
- Your use of the Software
- Your trading decisions and trading results
- Your violation of this EULA
- Your violation of any law or third-party right
- Any false information you provide to Gixodia
10. Termination
This EULA is effective until terminated. Your license terminates automatically if you fail to comply with any term of this EULA. Gixodia may also terminate this EULA at any time, with or without notice, if it believes you have breached the agreement.
Upon termination:
- Your license to use the Software ends immediately
- You must uninstall the Software and destroy all copies in your possession
- All disclaimers, limitations of liability, indemnification provisions, intellectual property rights, and similar provisions survive termination
11. Export Restrictions
The Software may be subject to export control laws and regulations of the United States and other countries. You agree to comply with all applicable export and re-export restrictions. You may not use, export, or re-export the Software in violation of any applicable laws or regulations.
You represent and warrant that you are not located in, and are not a national or resident of, any country to which the U.S. has embargoed goods, and that you are not on any U.S. government list of prohibited or restricted parties.
12. Force Majeure
Gixodia shall not be liable for any failure or delay in performance under this EULA due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, internet outages, broker outages, or shortages of transportation, facilities, fuel, energy, labor, or materials.
13. Governing Law
This EULA shall be governed by and construed in accordance with the laws of the jurisdiction in which Gixodia is registered, without regard to conflict-of-laws principles. Any disputes arising under this EULA shall be resolved exclusively through binding arbitration in accordance with the rules of the International Chamber of Commerce (ICC), conducted in English.
14. Severability
If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
15. Entire Agreement
This EULA, together with the Terms and Conditions, Privacy Policy, and Risk Disclaimer published on gixodia.com, constitutes the entire agreement between you and Gixodia regarding the Software and supersedes all prior agreements.
