Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Gixodia website (gixodia.com) and all software products, services, content, and features offered by Gixodia Software Development Company (trading as "Gixodia", "we", "us", "our") (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms, including the automatic-renewal billing terms in Section 6 and the binding arbitration and class-action waiver in Section 17. If you do not agree, do not use our Services. Where you subscribe to our software, the separate Software Subscription & Service Agreement (the e-signed agreement at /legal/eula) also applies and governs the subscription itself.

Gixodia is a software company. We sell licensed trading bot software. We are not a broker, custodian, fund, financial advisor, or investment manager. We do not hold client funds, do not give financial advice, and do not guarantee profits. All trading is conducted by the customer on their own broker account, and 100% of trading results (positive or negative) belong to the customer.

The numbered sections below are the binding terms and control in the event of any conflict.

1. Nature of Service: Software Only

Gixodia provides licensed algorithmic trading software (Expert Advisor binaries for the MetaTrader 5 platform). Gixodia is NOT a broker, dealer, market maker, fund, hedge fund, custodian, money transmitter, investment advisor, asset manager, robo-advisor, or financial planner.

Customer responsibilities and control: Customers connect the Gixodia software to their own broker account, which they own and operate independently of Gixodia. Customers retain full custody of their capital at all times. Gixodia never holds, accesses, transfers, or has visibility into customer funds, broker credentials, account balances, or trade history.

No financial services: Gixodia does not provide investment advice, brokerage services, asset management, portfolio management, or any regulated financial service. The software follows execution rules the customer configures (risk profile, position sizing, market selection). The customer is solely responsible for the trading decisions encoded in those configurations.

No guaranteed outcomes: Algorithmic trading involves substantial risk. Performance depends on market conditions, broker execution, slippage, spreads, and the risk settings the customer chooses. Gixodia makes no representation or warranty regarding any specific trading outcome, return, profit, or income. Past performance, including historical backtests and customer telemetry, does not predict future performance.

Software license, not investment: The Gixodia license is a software license, not a security, investment contract, managed account, or financial product. The license fee purchases access to a software product, not a share of trading revenue or any expectation of profit derived from Gixodia's efforts.

2. Who We Are and What We Sell

Gixodia ("we", "us", "our") is a software development company that designs, licenses, and supports algorithmic trading bot software for the foreign exchange (forex) market. Our flagship products are GIX-GOLD (an XAUUSD trading bot) and GIX-EURO (an EUR/USD trading bot).

We are a software company. We are not:

  • A broker, dealer, or any kind of financial institution
  • A fund, hedge fund, or investment vehicle
  • A registered investment advisor or financial advisor
  • A money transmitter or money service business
  • A custodian of customer funds

We sell software licenses. Customers install our software on their own MetaTrader 4 (MT4) or MetaTrader 5 (MT5) terminals connected to broker accounts that the customer owns and controls. We never hold, manage, or have access to customer funds.

3. Eligibility

By using our Services, you represent and warrant that:

  • You are at least 18 years old (or the age of legal majority in your jurisdiction)
  • You have the legal capacity to enter into binding contracts
  • You are not located in, organised under the laws of, or a national or resident of, any country or territory subject to comprehensive U.S. or other applicable sanctions or embargo, and not designated as a "terrorist supporting" country
  • You are not on any U.S. government or other applicable list of prohibited or restricted parties (including the U.S. Treasury Department's Office of Foreign Assets Control ("OFAC") Specially Designated Nationals ("SDN") List)
  • You will use our Services in compliance with all applicable laws and regulations
  • The information you provide to us is accurate, current, and complete

If you do not meet these requirements, you may not use our Services. We may screen customers against applicable sanctions and restricted-party lists and may suspend or terminate access immediately, without refund or liability, if you are or become a sanctioned or restricted party or if continued service would violate applicable law. You agree to cooperate with any reasonable identity-verification, anti-money-laundering, or compliance request.

4. Software License Grant

Subject to your compliance with these Terms and timely payment of applicable fees, Gixodia grants you a non-exclusive, non-transferable, revocable license to install and use one (1) copy of the Gixodia software on a single MT4 or MT5 trading account (or as expressly permitted by your specific license tier) for your personal, non-commercial purposes.

You may NOT:

  • Sell, sublicense, distribute, lease, or rent the software to any third party
  • Modify, decompile, reverse-engineer, disassemble, or attempt to derive the source code
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use the software in any way that violates applicable laws
  • Use the software to operate a managed account, prop firm, or any commercial trading service for others without a separate commercial license from Gixodia
  • Share your license with multiple users or on multiple accounts beyond what your tier permits

5. The 10-Day Free Trial

Gixodia offers new customers a 10-day free trial that includes:

  • Full access to GIX-GOLD and/or GIX-EURO software
  • Optional installation and onboarding help via video call, performed by an independent third-party setup partner (not by Gixodia)
  • The right to install and run the bot on your own broker account during the trial period
  • 24/7 customer support during the trial

A valid credit card is required to start the trial, but no charge is made during the 10-day trial. Card details are collected securely by Stripe Checkout, and Gixodia never handles or stores your card data. If you do not cancel before the trial ends, your subscription begins automatically and your card is charged the monthly price (see Section 6). You can cancel anytime from your dashboard; if you cancel during the trial, you are not charged.

All trading results during the trial belong entirely to you. Gixodia retains no portion of any profits or losses generated during the trial.

6. Subscription, Pricing, Automatic Renewal & Cancellation

Gixodia is offered as a recurring monthly subscription: Bot Euro: USD $199/month, or Bot Euro + Gold: USD $249/month. Prices are in USD and inclusive of applicable VAT. Every subscription begins with a 10-day free trial.

AUTOMATIC RENEWAL, please read carefully. A valid credit card is required to start the trial, but no charge is made during the trial. If you do NOT cancel before the 10-day trial ends, your card is automatically charged the monthly subscription price, and the subscription then renews and is automatically charged each month until you cancel. By starting the trial you give your express affirmative consent (separate from your acceptance of these Terms generally) specifically to this recurring charge, and you authorise Gixodia and its payment processor (Stripe) to store your payment method and charge it on a recurring monthly basis, plus applicable taxes, until cancellation. Your dashboard shows your renewal date and the exact amount.

Cancellation, as easy as signing up. You may cancel anytime, online, from your dashboard, using a clearly available self-service cancellation control: no phone call, no email-only process, and no retention maze. If you cancel during the 10-day trial, you are not charged. If you cancel after billing begins, you will not be charged again; your access continues until the end of the billing period you have already paid for, then stops. We do not provide pro-rated refunds for partial billing periods unless required by applicable law. Full details are in our Refund Policy.

Failed payments. If a scheduled charge fails, we may automatically retry it and will notify you. If payment is not collected after our retries and a cure window of at least five (5) days following written notice, we may suspend or terminate your access for non-payment.

We do not charge any percentage of trading profits. Customers retain 100% of all trading gains and bear 100% of all trading losses. Payment is for the software subscription only.

If you choose a multi-account or commercial license, additional terms may apply, which will be included in your specific license agreement.

7. Refunds

Because every plan starts with a free 10-day trial and you can cancel anytime, refunds work as follows: no charge is made during the trial; after billing begins, cancellation stops future charges and your access continues to the end of the paid period; and we do not refund partial months unless required by applicable law. Genuine billing errors, double charges, and unresolved software faults are addressed regardless of timing. See our Refund Policy for the complete process.

8. No Financial Advice

Gixodia does not provide financial, investment, tax, or legal advice. Any information on our website, in our software, in our blog articles, in customer reviews, or in communications from our team is for general informational and educational purposes only. It is not personalized advice and should not be relied upon as the basis for any investment decision.

You should consult with a licensed financial advisor, tax professional, or attorney before making any trading or investment decisions. All trading decisions are your sole responsibility.

9. No Profit Guarantees

Gixodia makes no representations or warranties about the profitability of trading using our software. Trading involves substantial risk of loss and is not suitable for every investor.

  • Past performance is not indicative of future results
  • Historical backtest data is not a guarantee of future returns
  • Live trading results may differ materially from historical results
  • You may lose some or all of the capital you trade
  • Any historical performance figures referenced anywhere on the Gixodia website (for example, monthly historical performance ranges or worst-month drawdown numbers) are observed metrics from backtests and aggregate anonymized telemetry of the software; they are NOT targets, forecasts, promises, or guarantees about your individual trading results

By using our software, you acknowledge that you understand these risks and that you assume them entirely.

10. Customer Responsibility

You are solely responsible for:

  • Choosing, opening, registering, verifying (KYC), and funding your broker account
  • Funding and managing your broker account, and any enrollment in a managed or pooled (for example PAMM) arrangement
  • Deciding whether to engage any independent third party (such as a separate setup or connection service) to help you open, register, connect, install, or run the software, and supervising that third party
  • Setting your risk parameters within the software
  • Monitoring your account and intervening when you believe necessary
  • Paying any taxes on trading profits in your jurisdiction
  • Complying with all applicable laws and regulations in your country
  • Maintaining the security of your devices and accounts

Every one of the above is your own free and independent choice and your sole responsibility. Gixodia provides software and support only; ultimate control over your account and your trading remains with you at all times, and Gixodia is not responsible or liable for any action taken by you or by any third party who assists you (see Section 15).

11. Intellectual Property

All content on the Gixodia website (text, images, videos, software, design, code, trademarks) is owned by Gixodia or licensed to us and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works without our written permission, except as expressly permitted under the software license grant.

12. User-Generated Content (Reviews)

When you submit a customer review through our website, you grant Gixodia a perpetual, royalty-free, worldwide license to use, display, reproduce, and publish your review (including your name and the content of the review) for marketing and promotional purposes. You represent that your review is truthful and reflects your actual experience.

Gixodia reserves the right to refuse or remove any review that we determine, in our sole discretion, to be false, defamatory, abusive, or violative of these Terms.

13. Feedback

If you voluntarily provide feedback, suggestions, feature requests, bug reports, ideas, or other input regarding the Services ("Feedback"), you grant Gixodia a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable licence to use, reproduce, modify, publish, distribute, and incorporate the Feedback into the Services and Gixodia's products and business, without any obligation, attribution, or compensation to you. You represent that your Feedback does not infringe any third-party rights.

14. Affiliate Program

If you apply to and are accepted into the Gixodia Partner Program, separate Affiliate Terms will apply in addition to these Terms. The Affiliate Terms govern commission rates, payout schedules, prohibited marketing practices, and termination conditions.

15. Third-Party Services and Integrations

The Services depend on third-party platforms and services that Gixodia does not own, operate, or control, and Gixodia is not responsible or liable for the acts, omissions, availability, performance, security, solvency, or regulatory status of any third party, including the MetaTrader / MetaQuotes platform, your broker (execution, pricing, spreads, slippage, leverage, withdrawals, solvency, and regulatory status), payment processing by Stripe, Inc., and internet, ISP, DNS, hosting, cloud, electricity, and other infrastructure. IN NO EVENT SHALL GIXODIA BE LIABLE FOR ANY LOSS, DAMAGE, OR DISRUPTION CAUSED BY OR ARISING FROM ANY THIRD-PARTY SERVICE. Your use of any third-party service is governed by that third party's own terms.

Independent setup and connection partners. Any person or company that helps you open, register, verify (KYC), or fund a broker account, connect to a broker or MetaTrader terminal, install, configure, or run the software, or that enrolls your account in a managed or pooled (for example PAMM, MAM, or copy-trading) arrangement, is an independent third party ("the Installer"), not Gixodia and not Gixodia's agent, partner, employee, or representative. Whether to open, register, fund, connect, or manage any account, and whether to use any such third party, is your own free and independent choice and your sole responsibility. Gixodia does not open, register, fund, connect, or manage accounts, does not control or supervise any Installer, and is not responsible or liable for any action taken by you or by any Installer or other third party who assists you. Any claim arising from such assistance lies against that third party, not against Gixodia, and you agree to hold Gixodia harmless for it. This is described in full in the Software Subscription & Service Agreement (Section 9C) and the Third-Party Installation & Support Policy (at /legal/installer).

16. Disclaimer of Warranties: Provided "AS IS"

THE SERVICES AND SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OR COMPLETENESS OF RESULTS, OR THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED. WITHOUT LIMITING THE FOREGOING, GIXODIA DOES NOT WARRANT THAT THE SOFTWARE WILL PRODUCE PROFITS, AVOID LOSSES, OR PERFORM IN LINE WITH ANY HISTORICAL, SIMULATED, OR ILLUSTRATIVE RESULTS.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GIXODIA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, TRADING LOSSES OF ANY KIND, OR OTHER INTANGIBLE LOSSES, EVEN IF GIXODIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

GIXODIA’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, OR THE SOFTWARE, FOR ALL CLAIMS COMBINED AND UNDER ANY THEORY OF LIABILITY, SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU ACTUALLY PAID GIXODIA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $500.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the maximum extent permitted by law. These disclaimers and limitations reflect a reasonable allocation of risk and are an essential basis of the bargain between you and Gixodia.

18. Indemnification

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS GIXODIA and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from:

  • Your use or misuse of the Services or software
  • Your trading decisions and results
  • Your violation of these Terms
  • Your violation of any third party’s rights, including intellectual property or privacy rights
  • Any false or misleading information you provide to us

Gixodia may, at its option, assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with Gixodia’s defence.

19. Termination

Gixodia may suspend or terminate your access to the Services at any time, with or without cause and with or without notice, including for breach of these Terms or for non-payment (subject to the failed-payment process in Section 6). You may stop using the Services at any time. Upon termination:

  • Your license to use the software ends immediately
  • You must uninstall the software from any device
  • Sections of these Terms that by their nature should survive (intellectual property, Feedback, disclaimers, limitation of liability, indemnification, arbitration, and governing law) will continue in effect

20. Changes to These Terms

We may modify these Terms at any time. When we do, we will post the updated version on this page and update the "Last Updated" date. For material changes (those that increase the price you pay, materially change billing or renewal terms, materially reduce your rights, or materially expand the limitation of liability, indemnification, dispute-resolution, or privacy terms), we will provide advance notice (e.g., by email or in-app) before they take effect; changes such as bug fixes, security updates, interface changes, performance improvements, and clarifications are non-material. If you do not agree to a material change, your remedy is to stop using the Services before it takes effect. Continued use of the Services after changes take effect constitutes acceptance of the new Terms.

21. International Use, Export Controls & Sanctions

Our Services are operated from various locations and may be accessed worldwide. You are responsible for compliance with local laws in your jurisdiction. Gixodia software may not be legal in all countries, and you should consult local laws before using it. We do not target users in jurisdictions where our Services would violate applicable law. The Services may be subject to U.S. and other export-control and economic-sanctions laws, and you agree to comply with all applicable export, re-export, and sanctions restrictions, and not to use the Services if doing so would violate them.

22. Governing Law, Arbitration & Class-Action Waiver

These Terms are governed by and construed in accordance with the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates, without regard to its conflict-of-laws principles.

Binding individual arbitration. Except as set out below, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved exclusively through final and binding arbitration on an individual basis, administered in Dubai, United Arab Emirates and conducted in English. Judgment on the award may be entered in any court of competent jurisdiction.

CLASS-ACTION AND JURY WAIVER. YOU AND GIXODIA EACH WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR CLASS-WIDE ARBITRATION. The arbitrator may award relief only in favour of the individual party seeking relief and only to the extent necessary to that party’s individual claim.

Opt-out. You may opt out of this arbitration and class-waiver provision by sending written notice to support@gixodia.com within thirty (30) days of first accepting these Terms, stating your name, account email, and intent to opt out. Opting out does not affect any other provision of these Terms.

Small claims; injunctive relief. Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

Time limit. Any claim must be commenced within one (1) year after the cause of action accrues, or it will be permanently barred, except where applicable law prohibits such a limitation.

23. Assignment

You may not assign or transfer any of your rights or obligations under these Terms without Gixodia’s prior written consent, and any attempted assignment without consent is void. Gixodia may assign or transfer these Terms to any affiliate or successor in connection with a merger, acquisition, reorganisation, sale of assets, or similar transaction.

24. Notices

Notices from Gixodia to you are effective when sent to the email on your account (deemed received 24 hours after sending, absent a bounce) or posted in the Services (effective immediately). Notices from you to Gixodia must be sent to support@gixodia.com (or to Gixodia Software Development Company, Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, United Arab Emirates for formal legal notices) and are effective on confirmed receipt; postal notices are deemed received three (3) business days after mailing.

25. Electronic Signature and Acceptance (ESIGN / UETA)

You accept these Terms by accessing or using the Services, ticking an acceptance box, clicking "Accept", or signing electronically. By accepting electronically, you consent to the use of electronic signatures and records in lieu of handwritten signatures and paper records, in compliance with the U.S. Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq., the "ESIGN Act") and the Uniform Electronic Transactions Act ("UETA"), and you acknowledge that your electronic acceptance has the same legal effect as a handwritten signature and is binding and enforceable. You may withdraw consent to transact electronically by emailing support@gixodia.com, without affecting transactions already completed.

26. Severability, Entire Agreement & No Waiver

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or, if it cannot be, severed, and the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, Risk Disclaimer, Refund Policy, and Software Subscription & Service Agreement (EULA), constitute the entire agreement between you and Gixodia regarding the Services and supersede all prior or contemporaneous agreements and understandings. No failure or delay by Gixodia in exercising any right is a waiver of that right, and no waiver is effective unless in writing.
