This Software Subscription & Service Agreement ("Agreement") is a binding legal contract between you ("you", "Customer", "User") and Gixodia Software Development Company (trading as "Gixodia", "Gixodia", "we", "us", "our") for your access to and use of Gixodia’s software products, including but not limited to GIX-GOLD and GIX-EURO (collectively, the "Software"). Gixodia is a software company. This Agreement grants you a recurring, paid subscription to USE the Software while your subscription is active. It is not a sale, assignment, or transfer of the Software, its source code, or any intellectual property. This Agreement is the contract you sign electronically when you start a subscription; the version you accept is recorded, hashed, and rendered into your signed PDF, and that signed instrument is the complete and governing agreement between us. By ticking the acceptance box, signing electronically, clicking "Accept" or "Start trial", or otherwise installing or using the Software, you agree to be bound by this Agreement, including the automatic-renewal and billing terms in Section 2 and the binding arbitration and class-action waiver in Section 20. If you do not agree, do not start a trial and do not install or use the Software.

> This is a monthly software subscription that lets you use Gixodia’s software while you pay for it. You do not buy or own the software, the code, or the intellectual property. You rent the right to use it. This is the contract you sign electronically, so please read it in full.
> - Every plan starts with a 10-day free trial. A valid credit card is required to start. We do not charge during the trial.
> - If you do not cancel before the trial ends, your card is automatically charged the monthly price (Bot Euro $199/month or Bot Euro + Gold $249/month), and it renews and is charged automatically every month until you cancel.
> - You can cancel anytime from your dashboard. It is as easy as signing up, with no phone call and no retention maze. When you cancel, you keep access until the end of the period you already paid for, then access stops and you are not charged again. We do not refund partial months unless the law requires it.
> - Gixodia is software only. We are not a broker, fund, custodian, investment advisor, or signal service, and we never hold your money. You trade on your own MT5 broker account with your own funds, and you keep 100% of your results, both gains and losses.
> - No results are guaranteed. Trading carries substantial risk; you can lose money; performance depends on the market and your own settings, and past performance does not predict future results.
> - You may not resell, share, copy, reverse-engineer, or decompile the Software. Your licence is for one customer. Sharing your licence key or using it on more accounts/machines than your plan allows can get it suspended without a refund (Section 8A).
> - We are independent. Gixodia is not affiliated with any broker or prop/funded-account firm, and is not responsible if your use breaks a prop firm’s or broker’s rules (Section 9A).
> - Disputes are resolved by binding individual arbitration with a class-action waiver (Section 20), and the Software is provided "AS IS" with our liability capped (Sections 14–15).

> The summary above is a convenience and is not legally binding. The numbered sections below are the binding terms and control in the event of any conflict. We have written this to be clear and honest (no tricks, no hidden traps) while fully protecting Gixodia. You should have a licensed attorney review this Agreement before relying on it.
1. Subscription Licence to Use the Software
Subject to your compliance with this Agreement and your timely payment of the applicable subscription fees, Gixodia grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable, terminable subscription licence to access and use the Software for your own personal, non-commercial use, for as long as your subscription is active and paid. The Software is provided as a hosted and/or distributed software product that you run on a single MetaTrader 5 (MT5) trading account (or as expressly permitted by your specific subscription tier).
This is a subscription to USE the Software, not a sale, and not a transfer of any code or intellectual property. You are renting access to a software product on a recurring basis. You do not acquire ownership of, or any proprietary right, title, or interest in, the Software, the source code, the object code, the underlying algorithms, the models, the strategies, or any related intellectual property. No source code is provided or escrowed. Nothing in this Agreement transfers, assigns, sells, or licenses to you any ownership of the Software, the code, or any intellectual property beyond the limited right to use described here.
*The subscription is a software service. It is not a security, fund interest, investment contract, brokerage service, managed account, advisory service, or financial product, and it must not be construed as one. Your subscription fee buys access to a software product only. It confers no entitlement to any trading revenue, profit-share, return, or expectation of profit derived from Gixodia’s efforts. Gixodia’s only ongoing obligation is to make the Software available as described, subject to this Agreement.*
Your licence exists only while your subscription is active and in good standing, and it ends immediately when your subscription ends, lapses, is suspended, or is terminated as described below.
2. The 10-Day Free Trial, Automatic Renewal, Billing & Cancellation
Please read this section carefully. It explains automatic charging, and by accepting this Agreement you give your express affirmative consent to it.
Every plan begins with a 10-day free trial, and a valid credit (or debit) card is required to start the trial. Card details are collected and processed by Stripe, Inc. through Stripe Checkout, a secure PCI-DSS-compliant hosted payment page. Gixodia never sees, handles, or stores your full card number. Payment is handled entirely by our payment processor.
- No charge during the trial. We do not charge your card during the 10-day free trial.
- AUTOMATIC RENEWAL: you will be charged unless you cancel. If you do NOT cancel before the 10-day trial ends, your subscription begins automatically and your card is automatically charged the monthly subscription price at the end of the trial. Thereafter the subscription renews automatically and your card is charged automatically each month, on the same calendar cycle, until you cancel. This is a continuous, automatically-renewing subscription that continues indefinitely until cancelled.
- Current prices: Bot Euro: USD $199 per month, or Bot Euro + Gold (bundle): USD $249 per month. Prices are in U.S. dollars and inclusive of any applicable VAT. You are responsible for any other taxes, duties, currency-conversion costs, or bank fees.
- First-charge disclosure. Your trial begins on the day you start it and ends 10 days later. Unless you cancel before then, your first charge of the price above is applied on the trial end date, and the same charge recurs on that calendar day each month thereafter. Your dashboard shows your renewal date and the exact amount.
- Express consent. By starting the trial and accepting this Agreement, you give your unambiguous affirmative consent specifically to the recurring charge described here (separate and apart from your acceptance of the rest of this Agreement), and you authorise Gixodia and its payment processor to store your payment method and to automatically charge it on a recurring monthly basis for the subscription you selected, plus any applicable taxes, until you cancel.
- Cancel anytime, as easy as signing up. You may cancel at any time, online, from your account dashboard, using a clearly available self-service cancellation control. Cancellation is at least as easy as sign-up: no phone call, no email-only process, and no retention maze are required. If you cancel during the 10-day free trial, you are not charged at all. If you cancel after billing begins, you will not be charged again.
- Access on cancellation (like any subscription). When you cancel, your subscription stops renewing, but your access continues until the end of the billing period you have already paid for. At the end of that paid period, your access stops and the Software deactivates. We do not provide pro-rated refunds for partial billing periods, and all fees are non-refundable, except where a refund is required by applicable law or expressly provided in our Refund Policy.
- Price changes. We may change subscription prices on a going-forward basis; any change to the price you pay is governed by Section 17 (advance notice; your right to cancel before it takes effect).
- Failed payments and non-payment. If a scheduled charge fails, we may automatically retry it up to three (3) times over a period of up to ten (10) days, and we will notify you. If payment is not successfully collected after our retry attempts and a cure window of at least five (5) days following written notice, we may suspend or terminate your access and this Agreement for non-payment without further liability. Suspended access may require settlement of outstanding amounts before reinstatement.
We will send a receipt for each successful charge, and a notice of any failed charge, to the email on your account. You are responsible for keeping a valid payment method and a current email address on file.
3. Software Only: Gixodia Is Not a Broker, Fund, or Advisor
Gixodia is a software company. We are NOT a broker, dealer, market maker, fund, hedge fund, custodian, money transmitter, investment advisor, asset manager, robo-advisor, financial planner, or signal service.
- You use your OWN broker account and your OWN funds. You connect the Software to a MetaTrader 5 broker account that you open, own, fund, and operate independently of Gixodia. You retain full custody and control of your capital at all times.
- We never touch your money. Gixodia does not hold, access, transfer, pool, or have visibility into your funds, broker credentials, account balances, or trade history. The Software runs on your terminal and communicates only with your broker (for execution) and Gixodia’s licence/update servers.
- No financial advice or signals. Gixodia does not provide investment advice, brokerage, asset management, portfolio management, trade signals, or any regulated financial service. The Software executes the rules and parameters that you configure (risk profile, position sizing, market selection). You are solely responsible for those configurations and their consequences.
- 100% of results are yours. All trading outcomes (gains and losses) belong entirely to you. Gixodia takes no share of profits and bears no share of losses.
4. Risk Disclosure: No Guaranteed Results
Algorithmic trading involves substantial risk, including the risk of losing some or all of the capital you deploy. Gixodia does not guarantee any profit, return, income, or outcome of any kind.
- Performance depends on market conditions, broker execution, spreads, slippage, leverage, and the risk settings you choose.
- Past performance, historical backtests, simulations, and aggregate anonymised telemetry are not predictions, targets, forecasts, promises, or guarantees of your individual results.
- Live results may differ materially from any historical or illustrative figures.
- Extreme or unforeseen market events ("black swans") can produce losses larger than any historical drawdown and larger than configured stop-losses can prevent.
By subscribing, you acknowledge that you understand and accept these risks and that you trade only with capital you can afford to lose. Full details are in our Risk Disclaimer, which forms part of this Agreement.
5. Customer Responsibilities and Eligibility
You represent and warrant that you are at least 18 years old (or the age of legal majority in your jurisdiction), have the legal capacity to enter into a binding contract, and are entering into this Agreement on your own behalf. You are solely responsible for, and Gixodia is not responsible for:
- Choosing, opening, funding, and managing your own broker account, and maintaining a compatible MetaTrader 5 terminal and the hardware, operating system, connectivity, and power needed to run the Software;
- Selecting your risk parameters, position sizing, and configurations, and for monitoring your account and intervening when you believe necessary;
- Determining whether the Software and algorithmic trading are suitable, lawful, and appropriate for you, and obtaining any independent financial, tax, or legal advice you need;
- Complying with all laws, regulations, broker terms, and tax obligations applicable to you in your jurisdiction, including reporting and paying any taxes on trading results;
- Maintaining the security and confidentiality of your devices, credentials, licence keys, and account, and for all activity under your account.
Gixodia provides software and support; ultimate control over, and responsibility for, your trading remains with you at all times.
6. Ownership of the Software and Intellectual Property
The Software is licensed on a subscription basis, not sold. Gixodia (and its licensors) retain all right, title, and interest in and to the Software, including the source code, object code, algorithms, models, design, look and feel, documentation, and all patents, copyrights, trademarks, trade secrets, and other intellectual property rights. All rights not expressly granted to you in this Agreement are reserved by Gixodia. You acquire no ownership interest of any kind, only the limited, time-bound subscription licence described in Section 1.
All trademarks, service marks, logos, and brand features associated with Gixodia, GIX-GOLD, and GIX-EURO remain the exclusive property of Gixodia. Nothing in this Agreement grants you any right to use them except as strictly necessary to use the Software as permitted.
7. Feedback
If you voluntarily provide Gixodia with feedback, suggestions, feature requests, bug reports, ideas, or other input regarding the Software or Services ("Feedback"), you grant Gixodia a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable licence to use, reproduce, modify, publish, distribute, and incorporate the Feedback into the Software or Services and into Gixodia’s products and business, without any obligation, attribution, or compensation to you. You represent that your Feedback does not infringe or misappropriate any third-party rights and that you are not entitled to any payment for it.
8. Acceptable Use and Restrictions
You may use the Software only as expressly permitted by this Agreement and your subscription tier. Under this Agreement, you may install the Software on your own MT5 platform, run it on your own broker account(s) as your tier permits, configure documented parameters, receive updates during your active subscription, and receive customer support.
You may NOT, and may not permit any third party to:
- Resell, sublicense, distribute, lease, rent, lend, share, or otherwise transfer the Software, your subscription, or your licence keys to any third party
- Copy the Software except as strictly required to run your permitted installation
- Modify, adapt, translate, reverse-engineer, decompile, disassemble, or attempt to derive the source code, algorithms, models, or underlying ideas of the Software
- Create derivative works based on the Software, or use it to build or train a competing product
- Remove, alter, or obscure any copyright, trademark, licensing, or proprietary notices
- Use the Software to trade on behalf of others (e.g., managed accounts, prop firms, signal services) without a separate written commercial agreement from Gixodia
- Bypass, disable, or interfere with licensing, security, or update mechanisms, or use the Software beyond the accounts/seats your tier permits
- Use the Software in violation of any applicable law, regulation, or third-party right
Violating these restrictions is a material breach that may result in immediate suspension or termination without refund and may subject you to legal action.
8A. Anti-Sharing, One-Customer Licence & Licence Enforcement
> Warning. Any attempt at concurrent or parallel use, account sharing, licence-key sharing or resale, trial abuse, or circumvention of the licensing mechanisms will result in immediate, irreversible suspension of your licence without refund. This Section applies to every licence type (trial, monthly subscription, bundle, or any other) with no exception.
Your subscription is a single-customer, single-use licence. It is issued to you alone, for use on the MetaTrader 5 trading account(s) and machine/server permitted by your tier, and it may not be shared, pooled, resold, sublicensed, lent, transferred, or used by or for anyone other than you.
- Concurrent-use limit. The licence is valid only on your Authorised Account(s), up to your tier's limit, at any given moment. You may not connect the same licence or licence key to additional machines, servers, VPS instances, terminals, or trading accounts at the same time.
- No sharing or resale of the licence key. You may not give, sell, rent, publish, post, or otherwise make your licence key, credentials, or Software files available to any third party, and you may not use a licence key that was not issued to you.
- Licence binding. Each licence is bound to your machine fingerprint, server, and/or Authorised Account. Any change to the bound device or account requires Gixodia's prior approval through your dashboard.
- Anti-fraud and integrity identifiers. To enforce these terms and protect the Software's integrity, the Software and our licence servers may automatically collect and check technical identifiers, including (among others) device/server digital fingerprints, IP address and approximate geo-location, the active MT5 account number, timestamps, and indicators of duplicated, transferred, or extended trial identifiers. These licence-integrity checks run in the background and report to Gixodia, consistent with our Privacy Policy. The Software does not transmit your broker credentials, balance, or trade history to Gixodia.
- Automatic detection and suspension. Detection of any of the following may trigger automatic suspension: concurrent or parallel use beyond your tier; trial-extension, trial-reset, or trial-duplication attempts; IP or fingerprint duplication consistent with sharing; bypass or tampering attempts; use on an account number that is not authorised; or any other activity indicating a breach of this Section.
- No technical circumvention. You may not crack, patch, neutralise, interfere with, or tamper with any licensing, protection, telemetry, or update mechanism; use a VPN, proxy, emulator, virtual machine, or identity-spoofing to evade limits or detection; or copy, redistribute, or reverse-engineer the Software files to defeat licence enforcement.
- Irreversible, no-refund suspension. On detection of a breach of this Section, your licence may be suspended immediately and irreversibly, all licence credentials tied to your account may be revoked, future access may be blocked, and the account may be blacklisted. Because such conduct is a fundamental breach by you, no refund of any kind is due for the period of the breach or thereafter, and we may terminate this Agreement immediately without prior notice or cure period.
- Cumulative remedies. Our enforcement rights under this Section are in addition to, and do not limit, our other rights and remedies under this Agreement (including indemnification in Section 16 and our right to seek injunctive relief).
9. Third-Party Services and Integrations
The Software depends on third-party platforms and services that Gixodia does not own, operate, or control. Gixodia is not responsible or liable for the acts, omissions, availability, performance, security, solvency, or regulatory status of any third party, including:
- MetaTrader / MetaQuotes platform. The Software runs on your MetaTrader 5 (or, where applicable, MetaTrader 4) terminal. Gixodia does not operate, maintain, or support the platform. Platform outages, errors, API or specification changes, and deprecation are beyond Gixodia’s control.
- Broker services. You trade through a broker you choose. Execution quality, pricing, spreads, slippage, requotes, leverage, margin policy, withdrawal speed, solvency, and regulatory status are the responsibility of you and your broker. Gixodia is not liable for any broker conduct, failure, insolvency, or poor execution.
- Payment processing (Stripe). Payments are handled by Stripe, Inc., a PCI-compliant processor. Gixodia does not process, store, or access your full card details. Gixodia is not liable for Stripe outages, payment failures, disputes, or chargebacks (beyond issuing any refund actually due under our Refund Policy).
- Internet and infrastructure. Gixodia is not liable for internet, ISP, DNS, hosting, cloud, electricity, or other network- or infrastructure-layer failures.
IN NO EVENT SHALL GIXODIA BE LIABLE FOR ANY LOSS, DAMAGE, OR DISRUPTION CAUSED BY OR ARISING FROM ANY THIRD-PARTY SERVICE. Your use of any third-party service is governed by that third party’s own terms, and you are responsible for complying with them.
9A. Complete Independence from Brokers and Prop / Funded-Account Firms
- Independence and non-affiliation. Gixodia is an independent software company. We are not connected with, affiliated with, controlled by, sponsored by, endorsed by, or in any business relationship with any broker, dealer, or prop/funded-account firm, present or future, in any jurisdiction. Any reference to a broker, prop firm, brand name, or logo in the Software or our materials is for illustration and compatibility only and is not a recommendation, endorsement, partnership, or official connection of any kind.
- Your responsibility on prop / funded accounts. Using the Software on a prop, funded-challenge, evaluation, or other third-party account is at your full and exclusive responsibility. You are solely responsible for reading and complying with that firm's rules, terms, limits, prohibited-strategy lists, and trading conditions, and for confirming that automated or EA-based trading is permitted. Gixodia is not responsible if your use of the Software breaches a prop firm's or broker's rules, causes a challenge or account to fail, or results in a withheld payout.
- No responsibility for prop / broker actions. Gixodia is in no way responsible for any decision, suspension, account closure, rule change, evaluation result, non-payment of profits, profit-split dispute, or any other action taken by, or dispute with, a broker or prop firm. Gixodia supplies software only and is not a party to any contract, payment, arrangement, or relationship between you and any broker or prop firm.
- Broker-relationship continuity without obligation. If a broker or prop firm changes its terms, suspends activity, restricts EAs, becomes insolvent, or any similar event affects you, this does not affect the validity of your Software licence or your payment obligations. You may, at your sole discretion, use the Software on any other account or broker you are entitled to use.
- Indemnity for broker / prop-firm claims. In addition to Section 16, you agree to indemnify and hold Gixodia harmless against any claim, demand, allegation, or proceeding by a broker, prop firm, or other third party arising from your use of the Software on such accounts, including reasonable legal costs and attorneys' fees.
9B. Reputation, Good Faith and Non-Disparagement
Gixodia is committed to dealing fairly with you, and we ask the same in return. This Section is intended to protect Gixodia's legitimate reputation and goodwill while fully preserving your right to express honest, fair, and factual opinions.
- Good faith. You agree to act in good faith toward Gixodia and not to knowingly publish, disseminate, or communicate (on social networks, forums, review sites, blogs, or in any written or oral form) content about Gixodia, its products, or its team that is defamatory, knowingly false, malicious, or made in bad faith with the purpose of harming Gixodia's goodwill.
- Complaints first. If you are dissatisfied or experience a problem, you agree to first contact Gixodia in writing at support@gixodia.com and allow a reasonable opportunity (at least thirty (30) days) to investigate and seek a fair resolution before escalating publicly.
- Your right to honest reviews is preserved. Nothing in this Section prevents you from sharing genuine, fair, factual, and good-faith feedback or reviews about your actual experience, from making truthful statements, from communicating with a regulator or law-enforcement authority, or from exercising any right that cannot lawfully be waived. This Section restricts only knowingly false, defamatory, or bad-faith conduct, and it is to be interpreted no more broadly than applicable law permits.
- Remedies. A breach of this Section that involves knowingly false or defamatory content entitles Gixodia to pursue removal of the content, injunctive relief, and any damages and reasonable legal costs available at law. These remedies are cumulative with our other rights under this Agreement.
9C. Third-Party Installation & Support
> Important. Gixodia is a software company. Our sole and complete obligation under this Agreement is to provide you with a working, licensed Software file (the Expert Advisor binary) and the licence to use it. Any opening or registration of a broker account, identity verification (KYC), deposit or funding, installation, setup, account connection, configuration, MetaTrader/VPS deployment, optimisation, enrollment in any managed or pooled arrangement (for example a PAMM, MAM, or copy-trading pool), or hands-on technical assistance is performed by you and/or by an independent third-party service company, not by Gixodia, and is entirely separate from the Software licence. You alone decide whether and how to open, register, fund, connect, or manage any account, and whether to engage any third party to help you do so; you do this entirely at your own free and independent choice and at your sole responsibility. Gixodia does not open, register, fund, connect, or manage accounts, and is not responsible or liable for any such action taken by you or by any third party who assists you.
- Performed by an independent third party. Where help to open, register, verify (KYC), or fund a broker account, connect to a broker or an MT5 terminal, enroll your account in a managed or pooled (PAMM/MAM/copy-trading) arrangement, or with installation, on-device setup, remote configuration, "done-for-you" deployment, or live technical help is offered, requested, or provided, those services are performed by a separate, independent third-party service company ("the Installer"). The Installer is not Gixodia, is not Gixodia's agent, partner, employee, or representative, and acts on its own account. Whether to engage the Installer or any third party is your own free and independent choice. Any arrangement, instruction, fee, or communication between you and the Installer is solely between you and the Installer.
- Gixodia's obligation is the working file only. Gixodia's responsibility begins and ends with making available a working, licensed Software file and the right to use it under this Agreement. Gixodia is a software house: we build and license software; we do not perform your installations, connect your accounts, or operate your machine.
- No Gixodia responsibility for installation or support acts. To the maximum extent permitted by law, Gixodia is NOT responsible or liable for the acts, omissions, errors, delays, advice, negligence, conduct, or results of the Installer or any third party who installs, connects, configures, deploys, optimises, maintains, or provides technical help with the Software, including for any mis-installation, misconfiguration, incorrect settings, wrong account or symbol connection, data loss, device or system damage, security exposure, downtime, missed trades, or any direct or indirect financial loss arising from or relating to such installation, connection, or support.
- You authorise any third-party access at your own risk. If you grant the Installer or any third party remote access to, or credentials for, your computer, VPS, MetaTrader terminal, broker account, or any other system, you do so at your own risk and on your own responsibility. You are responsible for vetting the Installer, supervising the work, keeping your own backups, and safeguarding your credentials. Gixodia does not control, supervise, certify, guarantee, or insure any Installer or third-party service.
- No warranty on third-party services. Any installation or support service is provided by the Installer "AS IS", without warranty by Gixodia of any kind. Nothing in this Agreement makes Gixodia a guarantor, surety, or co-obligor of any Installer service, and Gixodia gives no representation that any installation will be error-free, secure, profitable, or fit for your particular setup.
- Your remedy is against the Installer. Any claim, dispute, or remedy arising from installation, connection, configuration, or technical-support services lies against the Installer that performed the work, not against Gixodia. You agree to indemnify and hold Gixodia harmless (in addition to Section 16) against any claim arising from your use of, or any dispute with, an Installer or other third-party service provider.
- This does not reduce Gixodia's file obligation. For clarity, this Section limits Gixodia's responsibility only for third-party installation, connection, and support; it does not relieve Gixodia of its core obligation to provide a working, licensed Software file as described in this Agreement.
10. Beta and Experimental Features
From time to time Gixodia may offer features, versions, or products identified as beta, preview, early-access, or experimental ("Beta Features"). Beta Features are optional and provided "AS IS", without any warranty, support, service level, or liability cap, may be incomplete or unstable, and may be modified, suspended, or discontinued at any time without notice. To the maximum extent permitted by law, Gixodia disclaims all liability arising from your use of Beta Features, and your use is entirely at your own risk.
11. Suspension and Termination
Your subscription continues on a monthly recurring basis until cancelled by you or terminated under this Agreement.
- Your cancellation: You may cancel anytime from your dashboard. Cancellation stops future renewals; access continues to the end of the paid period and then stops (Section 2).
- Suspension or termination for breach: Gixodia may suspend or terminate your access and this Agreement immediately, with or without notice, if you materially breach this Agreement, misuse the Software, create a security or legal risk, or where required by law. No refund is owed for termination caused by your breach.
- Non-payment: If a scheduled charge fails, the failed-payment and cure process in Section 2 applies before termination for non-payment.
- Discontinuation: Gixodia may discontinue the Software or a plan with reasonable prior notice; if we discontinue a plan you are paying for, we will stop charging you for it and, where required, refund any unused pre-paid amount for that plan.
Upon any termination or expiry, your licence ends immediately, the Software deactivates, and you must cease all use, uninstall the Software, and destroy any copies in your possession. Sections that by their nature should survive (including IP ownership, Feedback, disclaimers, limitation of liability, indemnification, arbitration, and governing law) survive termination.
12. Updates and Maintenance
Gixodia may, at its discretion, provide updates, upgrades, bug fixes, security patches, and new versions of the Software during your active subscription, and may deprecate older versions with reasonable notice. Some updates may be required for the Software to keep working with broker platforms. You agree to install updates promptly. Gixodia is under no obligation to provide any particular update, and is not liable for any consequence of your failure to install an available update.
13. Customer Data and Privacy
Gixodia’s collection, use, and protection of your personal data is governed by our Privacy Policy (available at /legal/privacy), which you accept by using the Software. The Software does not transmit your broker account credentials, account balance, or trade history to Gixodia. It runs locally on your terminal and communicates only with your broker server (for execution) and Gixodia’s licence/update servers.
14. Disclaimer of Warranties: Provided "AS IS"
THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GIXODIA EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR COMPLETENESS OF RESULTS
- THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED
- THAT DEFECTS WILL BE CORRECTED
Without limiting the foregoing, Gixodia does not warrant that the Software will produce profits, avoid losses, or perform in line with any historical, simulated, or illustrative results.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GIXODIA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES
- LOSS OF PROFITS, REVENUE, GOODWILL, USE, OR DATA
- TRADING LOSSES OF ANY KIND, OR ANY LOSS ARISING FROM YOUR TRADING, YOUR CONFIGURATIONS, OR ANY THIRD-PARTY SERVICE
- BUSINESS INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, OR DAMAGE TO REPUTATION
EVEN IF GIXODIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
GIXODIA’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE SOFTWARE, OR THE SERVICES, FOR ALL CLAIMS COMBINED AND UNDER ANY THEORY OF LIABILITY, SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL SUBSCRIPTION FEES YOU ACTUALLY PAID GIXODIA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $500.
Some jurisdictions do not allow certain exclusions or limitations; in those jurisdictions our liability is limited to the maximum extent permitted by law. The disclaimers and limitations in this Section and in Section 14 reflect a reasonable allocation of risk and are an essential basis of the bargain between you and Gixodia.
16. Indemnification
YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS GIXODIA and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to:
- Your use or misuse of the Software or Services
- Your trading decisions, configurations, and trading results
- Your violation of this Agreement
- Your violation of any law or any third-party right
- Any false or misleading information you provide to Gixodia
Gixodia may, at its option, assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with Gixodia’s defence.
17. Changes to the Service, Prices, and this Agreement
Gixodia may modify the Software, the Services, the plans, and this Agreement from time to time. For any increase in your subscription price or any material change to this Agreement, we will give you advance notice (e.g., by email or in-app) before it takes effect. A change is material if it increases the price you pay, materially changes billing or renewal terms, materially reduces your rights, or materially expands the limitation of liability, indemnification, dispute-resolution, or privacy terms; changes such as bug fixes, security updates, interface changes, performance improvements, and clarifications are non-material. If you do not agree to a price change or material change, your remedy is to cancel before it takes effect; continuing your subscription after the effective date constitutes acceptance. We will update the "Last Updated" date when we make changes. Because this Agreement is e-signed, the version you accepted at signing governs your transaction until you accept a new version.
18. Export Controls, Sanctions & Eligibility Screening
You represent and warrant that you are at least 18 (or the age of majority in your jurisdiction), have legal capacity to contract, and are not located in, organised under the laws of, or a national or resident of, any country or territory subject to comprehensive U.S. or other applicable sanctions or embargo, and are not identified on any restricted-party, denied-party, or sanctions list (including the U.S. Treasury Department’s Office of Foreign Assets Control ("OFAC") Specially Designated Nationals ("SDN") List). The Software may be subject to U.S. and other export-control and economic-sanctions laws, and you agree to comply with all applicable export, re-export, and sanctions restrictions. Gixodia may screen customers against applicable sanctions and restricted-party lists and may suspend or terminate access immediately, without refund or liability, if you are or become a sanctioned or restricted party or if continued service would violate applicable law. You agree to cooperate with any reasonable identity-verification, anti-money-laundering, or compliance request.
19. Force Majeure
Gixodia shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, war, terrorism, civil unrest, embargoes, government action, fire, flood, pandemic, labour disputes, power, network, cloud, hosting, or infrastructure failures, internet outages, broker or platform outages, or third-party service failures.
20. Governing Law, Arbitration & Class-Action Waiver
This Agreement is governed by and construed in accordance with the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates, without regard to its conflict-of-laws principles.
Binding individual arbitration. Except as set out below, any dispute, claim, or controversy arising out of or relating to this Agreement, the Software, or the Services shall be resolved exclusively through final and binding arbitration on an individual basis, administered in Dubai, United Arab Emirates and conducted in English. Judgment on the award may be entered in any court of competent jurisdiction.
CLASS-ACTION AND JURY WAIVER. YOU AND GIXODIA EACH WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR CLASS-WIDE ARBITRATION. The arbitrator may award relief only in favour of the individual party seeking relief and only to the extent necessary to that party’s individual claim.
Opt-out. You may opt out of this arbitration and class-waiver provision by sending written notice to support@gixodia.com within thirty (30) days of first accepting this Agreement, stating your name, account email, and intent to opt out. Opting out does not affect any other provision of this Agreement.
Small claims; injunctive relief. Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.
Time limit. Any claim must be commenced within one (1) year after the cause of action accrues, or it is permanently barred, except where applicable law prohibits such a limitation.
21. Assignment
You may not assign, transfer, sublicense, or delegate any of your rights or obligations under this Agreement, in whole or in part, without Gixodia’s prior written consent, and any attempted assignment without such consent is void. Gixodia may assign or transfer this Agreement, in whole or in part, to any affiliate or successor in connection with a merger, acquisition, reorganisation, sale of assets, or similar transaction, provided the assignee assumes Gixodia’s obligations. This Agreement binds and benefits the parties and their permitted successors and assigns.
22. Notices
- From Gixodia to you: notices are effective when sent to the email address on your account (deemed received 24 hours after sending, absent a bounce notification) or when posted in the Software or your dashboard (effective immediately upon posting). It is your responsibility to keep your email address current.
- From you to Gixodia: notices must be sent to support@gixodia.com (or to Gixodia Software Development Company, Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, United Arab Emirates for formal legal notices) and are effective on confirmed receipt; notices sent by post are deemed received three (3) business days after mailing.
23. Severability, Entire Agreement, No Waiver
If any provision of this Agreement is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or, if it cannot be, severed, and the remaining provisions remain in full force and effect. This Agreement, together with the Terms and Conditions, Privacy Policy, Risk Disclaimer, and Refund Policy published on gixodia.com, constitutes the entire agreement between you and Gixodia regarding the Software and supersedes all prior or contemporaneous agreements, communications, and understandings. No failure or delay by Gixodia in exercising any right is a waiver of that right, and no waiver is effective unless in writing. The version of this Agreement you accept and sign electronically is the complete, standalone, governing instrument for your transaction.
24. Electronic Signature and Acceptance (ESIGN / UETA)
You accept and sign this Agreement by (a) ticking the acceptance checkbox, (b) clicking "Accept" or "Start trial", (c) signing electronically on the /start page, or (d) installing or using the Software. By accepting this Agreement electronically, you:
- Consent to the use of electronic signatures and electronic records in lieu of handwritten signatures and paper records, in compliance with the U.S. Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq., the "ESIGN Act") and the Uniform Electronic Transactions Act ("UETA");
- Acknowledge that your electronic signature has the same legal force and effect as a handwritten signature and that this Agreement is binding and enforceable against you;
- Represent that you are able to access, download, retain, and review this Agreement in electronic form (your signed copy is provided as a PDF and recorded with an integrity hash); and
- May withdraw your consent to transact electronically by emailing support@gixodia.com, though withdrawal does not affect the validity of any signature or transaction already completed.
By accepting, you confirm that you have read, understood, and agree to be bound by this entire Agreement, including the automatic-renewal and billing terms in Section 2 and the arbitration and class-action waiver in Section 20.

Appendix A: Risk Disclosure (mandatory; you confirm you have read and understood this)
This Appendix is an integral part of the Agreement. By accepting the Agreement you confirm you have read, understood, and consented to all of the following.
- Leveraged-market risk. Leveraged FX/CFD trading carries high risk (volatility, gaps, "bad fills") and can result in total loss of your capital, and even a debit balance beyond your deposit if your broker does not provide negative-balance protection.
- Execution risk. Slippage, requotes, order rejections, API/network/data failures, VPS downtime, and MetaTrader/broker updates can all affect execution and results.
- Customer-controlled settings. Your trading and risk parameters (lot size, leverage, stop-loss/take-profit, settings, trading hours) are set by you and are at your sole responsibility.
- Third-party dependency. The Software may behave differently across brokers due to varying spreads, lot limits, non-continuous quotes, or regulatory/tax changes.
- No profit commitment. There is no commitment to profit; past results, backtests, and simulations do not predict future performance.
- Regulatory obligation. You are responsible for the tax, reporting, compliance, and local-law obligations applicable to you.
- Due-diligence obligation. You must test the Software on a small/demo scope, confirm compatibility, and keep your own documentation and backups before any material live use.
> Customer acknowledgement: by accepting this Agreement, I confirm I have read, understood, and consented to all of the above Risk Disclosure.
Appendix B: Technical & Operational Requirements
This Appendix is an integral part of the Agreement and describes the minimum environment you are responsible for maintaining.
- A supported operating system, the required network permissions, a working MetaTrader 5 installation, and the ability to read documentation.
- Stable, low-latency internet; a dedicated/low-latency VPS; and accurate time synchronisation (NTP).
- Compatibility with your broker's policies (minimum lot/spread, time stamps, current limits).
- Your commitment to keep up with Gixodia's version requirements when updates are delivered.
- Gixodia is not responsible for the timing or performance of any Third-Party Service (broker, MetaTrader/MetaQuotes, VPS, data feed, internet, or payment processor).
> Customer acknowledgement: by accepting this Agreement, I confirm I have read, understood, and consented to all of the above Risk Disclosure and Technical Requirements.

- v2.4 (2026-07-16): Made the Gixodia/third-party separation fully explicit in Section 9C (and the matching Installer Policy): opening, registering, verifying (KYC), or funding a broker account, connecting, and enrolling the customer's account in any managed or pooled (PAMM/MAM/copy-trading) arrangement, whether performed by the customer or by any independent third party who assists them, is the customer's own free and independent choice and sole responsibility, and Gixodia does not open, register, fund, connect, or manage accounts and is not responsible or liable for any such action by the customer or any third party.
